Where this document sits. This is one of several documents that govern your use of FLOX. The full hierarchy, in order of precedence, is: (1) Platform Terms (Parts A–D); (2) Part E of the Platform Terms; (3) the specific Provider Services Agreement entered into for an Order, including the Pricing Schedule and Order Data; (4) the applicable Service Terms (Standard Conditions of Warehousing or Standard Conditions of Carriage). The Acceptable Use Policy is incorporated into the Platform Terms and the Website Terms of Use. The Privacy Policy and Cookie Policy operate alongside and govern personal-data processing.
PLEASE READ THIS ACCEPTABLE USE POLICY CAREFULLY BEFORE USING THIS SITE
This Acceptable Use Policy sets out the content standards that apply when you upload content to the FLOX Platform, use or interact with our site or Mobile App, make contact with other Authorised Users via the FLOX Platform, our site or Mobile App or link to our site.
It should be read alongside our Website Terms of Use, Platform Terms, Privacy Policy and Cookie Policy.
1. Who we are and how to contact us
1.1 FLOX.IS is a web-based marketplace and orchestration platform operated by VCL Trading Europe Limited ("we", "us" and "our"). We are registered in England and Wales under company number 07784688 and have our registered office at Marlborough House, 298 Regents Park Road, London, United Kingdom, N3 2SZ. Our VAT number is GB288257261.
1.2 To contact us, please email info@flox.is for general enquiries and any complaints about Contributions, or support@flox.is for any matter relating to a security or account incident, suspected breach of this Acceptable Use Policy, or termination of your Account.
1.3 The "FLOX Platform" refers to the online marketplace and orchestration platform which is available through our site or the Mobile App. The FLOX Platform acts as an intermediary and enables registered Service Recipients and Providers to enter into agreements with each other for the supply of certain logistics and related services (the "Provider Services").
1.4 The FLOX Platform, our site and the Mobile App are intended for use in a business context only and may not be used by individuals for domestic, household or private purposes or otherwise as a consumer. Use by consumers or for non-business purposes is strictly prohibited. See clause 3.5 of the Platform Terms for further details.
1.5 This Acceptable Use Policy forms part of, and is incorporated into, the Platform Terms (clause 5) and the Website Terms of Use (clause 4). It should also be read alongside our Privacy Policy and our Cookie Policy. Capitalised terms used but not defined in this Acceptable Use Policy (including "Authorised User", "Service Recipient", "Provider", "Master Data", "Information Exchange Interface", "Contribution" and "Order") have the meanings given to them in the Platform Terms.
2. Prohibited uses of our site, the Mobile App and the FLOX Platform
2.1 You may not use our site, the Mobile App or the FLOX Platform:
- Other than for genuine business purposes (use by consumers or by individuals for domestic, household or private purposes is strictly prohibited);
- If you are under 18, or are otherwise not legally entitled to enter into a binding contract on behalf of yourself or the legal entity you represent;
- In any way that breaches any applicable local, national or international law or regulation;
- In any way that breaches the terms of any Provider Services Agreement or Add-On Services Agreement in effect between you and a Service Recipient or Provider;
- In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect;
- For the purpose of harming or attempting to harm minors in any way;
- To bully, insult, intimidate or humiliate any person;
- To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards below;
- To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
- To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
- In any way that involves child sexual exploitation or abuse;
- To upload terrorist content;
- In a way which allows your Account or any part of the FLOX Platform to function in any manner not incorporated by VCL in its original design or in a manner damaging to the name or reputation of VCL, the FLOX Platform or the site or Mobile App;
- To collect or harvest any information, data or analysis from the FLOX Platform, the site or the Mobile App or attempt to decipher any transmissions to or from the servers running any FLOX Service.
2.2 You also agree:
- Not to reproduce, duplicate, copy or re-sell any part of our site, the Mobile App or the FLOX Platform, or to use any portion of them as a component of or a base for products or services prepared for commercial sale, sublicense, lease, access or distribution;
- To comply with the provisions of our Website Terms of Use, our Platform Terms, our Privacy Policy and our Cookie Policy, and the other terms and policies referred to in them;
- Not to access without authority, interfere with, damage or disrupt:
- any part of our site, the Mobile App or the FLOX Platform;
- any equipment or network on which our site, the Mobile App or the FLOX Platform is stored or hosted;
- any software used in the provision of our site, the Mobile App or the FLOX Platform;
- any equipment or network or software owned or used by any third party; or
- alter, steal, corrupt, disable, destroy, trespass, circumvent or violate any security or encryption used in relation to the site, the Mobile App or the FLOX Platform, nor attempt to do so or provide a means of doing the same.
3. Content Standards
3.1 These content standards apply to any and all material which you contribute to our site, the Mobile App or the FLOX Platform, including all Master Data and any information submitted to the Information Exchange Interface (each of which has the meaning given to it in the Platform Terms and is referred to in this Acceptable Use Policy as a "Contribution").
3.2 These Content Standards must be complied with in spirit as well as to the letter. The standards apply to each part of any Contribution as well as to its whole.
3.3 VCL will determine, in its discretion, whether a Contribution breaches the Content Standards.
3.4 A Contribution:
- Must be accurate and not misleading (where it states facts);
- Only contain opinions that are genuinely held;
- Must comply with the law applicable in any country from which it is posted and to which the website is targeted.
3.5 A Contribution must not:
- contain any special category personal data (as defined in Article 9 of the UK GDPR);
- Be defamatory of any person;
- Be obscene, offensive, hateful or inflammatory;
- Bully, insult, intimidate or humiliate;
- Encourage, promote or provide instructions for deliberate self-harm;
- Encourage, promote or provide instructions for suicide;
- Encourage, promote or provide instructions for an eating disorder or behaviours associated with an eating disorder;
- Promote sexually explicit material;
- Include child sexual abuse material;
- Incite violence or hatred against particular groups;
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- Include content that would be considered a criminal offence under laws relating to terrorism, child sexual abuse material, racism or xenophobia;
- Infringe any copyright, database right, trade mark or other intellectual property right of any other person;
- Include video content that has been or would be likely to be given an R18 certificate by the British Board of Film Classification (BBFC);
- Include video content not suitable for BBFC classification;
- Include material that might impair the physical, mental or moral development of persons under the age of 18;
- Be likely to deceive any person;
- Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
- Contain illegal content or promote any illegal content or activity;
- Be in contempt of court;
- Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety;
- Be likely to harass, upset, embarrass, alarm or annoy any other person;
- Impersonate any person or misrepresent your identity or affiliation with any person;
- Give the impression that the Contribution emanates from VCL, or another Authorised User, if this is not the case;
- Advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse;
- Contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism;
- Contain any advertising or promote any services or web links to other sites;
- Circumvent or attempt to circumvent any fees which would or may otherwise be payable to VCL in relation to use of the FLOX Platform; or
- Provide a means through which you will derive any compensated or monetary benefit by any third party or which could be construed as an advertisement.
4. Breach of this policy
4.1 When we consider that a breach of this Acceptable Use Policy has occurred, we may take such action as we deem appropriate.
4.2 Failure to comply with this Acceptable Use Policy constitutes a material breach of our Website Terms of Use and our Platform Terms (and, in particular, is grounds for immediate termination of your Account under clause 19.iv of the Platform Terms), and may result in our taking all or any of the following actions:
- Immediate, temporary or permanent withdrawal of your right to use our site, the Mobile App and/or the FLOX Platform;
- Immediate, temporary or permanent removal of any Contribution uploaded by you to our site, the Mobile App or the FLOX Platform;
- Immediate, temporary or permanent suspension or termination of any Provider Services Agreement or Add-On Services Agreement entered into by you;
- Issue of a warning to you;
- Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
- Further legal action against you; or
- Disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
4.3 We exclude our liability for all action we may take in response to breaches of this Acceptable Use Policy. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.
